These Terms of Service ("Terms") govern your access to and use of apptivitylab.com (the "Site") operated by Apptivity Lab Sdn Bhd ("Apptivity Lab", "we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Apptivity Lab

Apptivity Lab is a software engineering consultancy headquartered in Malaysia. The Site is operated for the purposes of presenting our services, publishing public-facing materials, and providing a channel for prospective clients, partners, and job applicants to contact us.

The Site does not provide a software-as-a-service product. Engagements with Apptivity Lab are governed by separate written agreements (such as a Master Services Agreement or Statement of Work) executed between Apptivity Lab and the client; these Terms do not constitute, replace, or modify any such agreement.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

  • infringe or violate the rights of any other party
  • violate any applicable law, regulation, or contractual obligation
  • transmit unsolicited advertising, malware, or harmful content
  • attempt to gain unauthorised access to the Site, related systems, or other users' data
  • interfere with or disrupt the Site's operation, including by means of denial-of-service attacks, scraping at unreasonable volumes, or reverse engineering
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to suspend or terminate access to the Site for any user who violates these Terms.

3. Intellectual property

All content on the Site — including text, graphics, logos, images, software, and the design and arrangement of the foregoing — is owned by Apptivity Lab or its licensors and is protected by copyright, trademark, and other intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Site for personal or internal business reference. No other rights are granted. You may not reproduce, distribute, modify, create derivative works of, publicly display, sell, or otherwise exploit any content from the Site without our prior written consent.

The "Apptivity Lab" name, logo, and any related marks are trademarks of Apptivity Lab. Use of these marks without our prior written consent is prohibited.

4. Submissions

If you submit information, ideas, materials, or feedback to us through the Site (including via the contact form, careers form, or by email), you represent that you have the right to do so, and you grant Apptivity Lab a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, and act upon such submissions for any lawful business purpose, subject to our Privacy Policy. We are under no obligation to maintain submissions in confidence except as required by applicable law or a separate written agreement.

5. Third-party links and content

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Apptivity Lab. We are not responsible for the content, policies, or practices of any third-party site. Inclusion of a link does not imply endorsement. You access third-party sites at your own risk.

6. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Information on the Site is for general informational purposes only and should not be relied upon as professional advice.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Apptivity Lab OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE — WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED MYR 100 (ONE HUNDRED MALAYSIAN RINGGIT). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Apptivity Lab and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your infringement of any third-party right.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices regarding personal data.

10. Modification of the Site or Terms

We reserve the right to modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice. We may also revise these Terms from time to time. Material changes will be indicated by an updated "Last updated" date at the top of these Terms. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of Malaysia.

12. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

13. Entire agreement

These Terms, together with our Privacy Policy and any separate written agreement between you and Apptivity Lab, constitute the entire agreement between you and Apptivity Lab concerning your use of the Site, and supersede any prior or contemporaneous agreements relating to the same subject matter.
